Terms and Conditions of Use

1. ACCEPTANCE OF TERMS

By purchasing, downloading, accessing, or using any cybersecurity policy products, templates, frameworks, or related materials (collectively, the "Products") provided by [Company Name] ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not purchase, access, or use our Products.

 

These Terms constitute a legally binding agreement between you and Company. If you are entering into this agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

 

 

2. PRODUCT DESCRIPTION AND INTENDED USE

2.1 Product Overview

Our Products consist of cybersecurity policies, procedures, templates, checklists, implementation guides, and related documentation designed to assist organizations in achieving compliance with industry-standard cybersecurity frameworks, including but not limited to:

 

  • NIST Cybersecurity Framework (CSF) 2.0

  • ISO 27001/27002 Information Security Management

  • SOC 2 Type II Controls

  • Other recognized cybersecurity standards and frameworks

2.2 Intended Use

The Products are intended to serve as:

 

  • Templates and starting points for developing organization-specific cybersecurity policies

  • Reference materials for understanding framework requirements and best practices

  • Implementation guidance for establishing cybersecurity programs

  • Educational resources for cybersecurity professionals and organizations

2.3 Customization Requirement

IMPORTANT: Our Products are designed as templates and must be customized to reflect your organization's specific requirements, risk environment, regulatory obligations, technology infrastructure, and business operations. The Products are not intended for use "as-is" without appropriate customization and professional review.

 

 

3. LICENSE GRANT AND RESTRICTIONS

3.1 Limited License Grant

Subject to your compliance with these Terms and payment of applicable fees, Company grants you a limited, non-exclusive, non-transferable, revocable license to:

 

  • Use the Products solely for your internal business purposes

  • Customize and modify the Products to meet your organization's specific requirements

  • Create derivative works based on the Products for your internal use only

  • Print copies of the Products for your internal use and implementation

3.2 Prohibited Uses and Restrictions

You may NOT:

3.2.1 Resale and Distribution Restrictions

  • Resell, redistribute, or sublicense the Products in any form

  • Share, transfer, or provide access to the Products to third parties, including but not limited to:

    • Consulting clients or customers

    • Business partners or affiliates

    • Contractors or vendors

    • Other organizations or entities

  • Post, upload, or make available the Products on any website, cloud platform, or file-sharing service

  • Include the Products in any commercial offering or service package

  • Use the Products as the basis for competing products or services

3.2.2 Intellectual Property Restrictions

  • Remove, alter, or obscure any copyright notices, trademarks, or proprietary markings

  • Reverse engineer, decompile, or disassemble any software components

  • Create competing products based on our Products or methodologies

  • Use our trademarks, service marks, or trade names without express written permission

3.2.3 Misuse Restrictions

  • Use the Products for any unlawful, fraudulent, or malicious purpose

  • Violate any applicable laws or regulations in your use of the Products

  • Misrepresent the source, authorship, or endorsement of the Products

  • Use the Products in a manner that could harm Company's reputation or business

3.3 Third-Party Use

If you wish to engage third-party consultants, auditors, or service providers to assist with implementing the Products, such parties:

 

  • Must enter into appropriate confidentiality agreements

  • May only access the Products under your direct supervision

  • Must use the Products solely for your benefit

  • Cannot retain copies of the Products after their engagement ends

 

 

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Company Ownership

Company retains all right, title, and interest in and to the Products, including all intellectual property rights therein. The Products contain proprietary and confidential information protected by copyright, trademark, trade secret, and other intellectual property laws.

4.2 Customer Rights

You retain ownership of any original content you create when customizing the Products for your organization. However, any improvements, suggestions, or feedback you provide regarding the Products may be used by Company without compensation or attribution.

4.3 Third-Party Materials

The Products may reference or incorporate publicly available standards, frameworks, or methodologies. Such materials remain the property of their respective owners and are used in accordance with applicable fair use provisions.

 

 

5. COMPLIANCE AND PROFESSIONAL GUIDANCE

5.1 No Guarantee of Compliance

IMPORTANT DISCLAIMER: While our Products are designed to assist with cybersecurity framework compliance, Company makes no warranty or guarantee that use of the Products will result in compliance with any particular standard, regulation, or requirement. Compliance depends on numerous factors specific to your organization, including but not limited to:

 

  • Proper customization and implementation of the Products

  • Your organization's specific risk environment and business context

  • Applicable legal and regulatory requirements

  • Ongoing maintenance and updates to policies and procedures

  • Actual implementation and enforcement of controls

5.2 Professional Review Required

You acknowledge that:

 

  • The Products should be reviewed by qualified cybersecurity professionals

  • Legal counsel should review policies for compliance with applicable laws

  • Independent auditors or assessors should validate compliance claims

  • Regular updates and maintenance are required to maintain effectiveness

5.3 Regulatory Disclaimer

Company is not a law firm and does not provide legal advice. The Products are not intended to address all legal or regulatory requirements that may apply to your organization. You are responsible for ensuring compliance with all applicable laws, regulations, and contractual obligations.

 

 

6. PAYMENT AND PRICING

6.1 Fees and Payment

Fees for Products are as specified at the time of purchase. All fees are non-refundable except as expressly provided in these Terms. Payment is due in full upon purchase unless otherwise agreed in writing.

6.2 Taxes

You are responsible for all applicable taxes, duties, and governmental charges related to your purchase and use of the Products.

6.3 Price Changes

Company reserves the right to modify pricing for future purchases. Price changes will not affect Products already purchased.

 

 

7. SUPPORT AND UPDATES

7.1 Support Services

Company may provide limited support services at its discretion, including:

Support services do not include:

 

  • Customization services for your specific organization

7.2 Product Updates

Company may periodically update the Products to reflect changes in standards, best practices, or regulatory requirements. Updates will be provided to customers at Company's discretion and may be subject to additional fees.

 

 

8. WARRANTIES AND DISCLAIMERS

8.1 Limited Warranty

Company warrants that the Products will materially conform to their description for ninety (90) days from the date of purchase. Your sole remedy for breach of this warranty is replacement of the non-conforming Products or refund of the purchase price, at Company's option.

8.2 DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

 

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE

  • WARRANTIES OF NON-INFRINGEMENT OR TITLE

  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

  • WARRANTIES THAT THE PRODUCTS WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE

  • WARRANTIES THAT USE OF THE PRODUCTS WILL RESULT IN COMPLIANCE WITH ANY STANDARD

 

 

9. LIMITATION OF LIABILITY

9.1 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCTS.

9.2 Exclusion of Damages

IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

 

  • LOSS OF PROFITS OR REVENUE

  • BUSINESS INTERRUPTION

  • LOSS OF DATA OR INFORMATION

  • COST OF SUBSTITUTE PRODUCTS OR SERVICES

  • REGULATORY FINES OR PENALTIES

  • REPUTATIONAL HARM

  • CYBERSECURITY INCIDENTS OR BREACHES

9.3 Basis of Bargain

You acknowledge that these limitations of liability are an essential element of the agreement between the parties and that Company would not provide the Products without such limitations.

 

 

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

 

  • Your use or misuse of the Products

  • Your violation of these Terms

  • Your violation of any applicable laws or regulations

  • Any customization or modification you make to the Products

  • Any third-party claims related to your implementation of the Products

 

 

11. CONFIDENTIALITY

11.1 Confidential Information

The Products contain confidential and proprietary information of Company. You agree to:

 

  • Maintain the confidentiality of the Products

  • Use appropriate safeguards to protect against unauthorized disclosure

  • Limit access to employees and contractors with a legitimate need to know

  • Not disclose any portion of the Products to third parties without written consent

11.2 Exceptions

Confidentiality obligations do not apply to information that:

 

  • Is or becomes publicly available through no breach of these Terms

  • Is independently developed without use of the Products

  • Is received from a third party without violation of confidentiality obligations

 

 

12. TERM AND TERMINATION

12.1 Term

These Terms commence on the date of your first purchase and continue until terminated in accordance with this Section.

12.2 Termination Rights

Either party may terminate these Terms:

 

  • For convenience with thirty (30) days' written notice

  • Immediately for material breach that remains uncured for ten (10) days after written notice

  • Immediately if the other party becomes insolvent or subject to bankruptcy proceedings

12.3 Effect of Termination

Upon termination:

 

  • Your license to use the Products immediately terminates

  • You must cease all use of the Products and delete all copies

  • Accrued obligations and liabilities survive termination

  • Sections 4 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Confidentiality) survive termination

 

 

13. EXPORT CONTROLS

You acknowledge that the Products may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and not to export, re-export, or transfer the Products in violation of such laws.

 

 

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [State/Jurisdiction], without regard to conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or related to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. 15.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom such waiver is sought to be enforced.

15.5 Assignment

You may not assign these Terms or any rights hereunder without Company's prior written consent. Company may assign these Terms without restriction.

15.6 Force Majeure

Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, or government action.

15.7 Notices

All notices required hereunder shall be in writing and delivered to the addresses specified at the time of purchase or as otherwise communicated by the parties.

ACKNOWLEDGMENT

 

BY PURCHASING, DOWNLOADING, ACCESSING, OR USING THE PRODUCTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
